KYC at every financial institution
Stripe, Mercury, Brex, Ramp — every bank requires government ID and an SSN/ITIN. The agent cannot be customer-of-record.
Fiduciary duty
Even single-member LLC owners owe duties to creditors at insolvency and to the IRS for trust-fund taxes. These are non-delegable.
Tax filings under penalty of perjury
Forms 1120/1065/1040 require a signature. Sales-tax responsible-person designations create personal liability.
Material contracts and representations
Common-law agency doctrine binds the principal. There is no settled doctrine for autonomous AI as a contracting agent. The Air Canada chatbot case (2024) is precedent.
